***Content Usage & Brand Protection Clause***

The "Participating Influencer" acknowledges and agrees that all content created for and in collaboration with Qivaro International (“Qivaro”), including but not limited to photos, videos, captions, and social media posts, shall be granted perpetual, non-exclusive rights to Qivaro for use across all corporate platforms. This includes, but is not limited to, the Qivaro website, brand decks, social media channels, fan pages, digital and offline marketing, and paid media advertising campaigns.

The Participating Influencer further agrees not to harm, damage, or tarnish the reputation of Qivaro or its representatives and shall hold Qivaro harmless from any claims, damages, or liabilities that may arise from their content or conduct.

From time to time, Qivaro may feature content involving brand ambassadors and international celebrities under special licensing agreements. Usage of any celebrity-endorsed content is strictly prohibited without the express written permission of Qivaro. This includes, but is not limited to:

  • ❌ Altering or dubbing over the celebrity’s spoken words.

  • ❌ Digitally manipulating or distorting the celebrity’s face, image, or performance (e.g., deepfakes).

  • ❌ Repurposing the message in a misleading or misrepresentative manner.

  • ❌ Using any part of the content without Qivaro’s explicit written authorization.

  • ❌ Sharing, sublicensing, or distributing content to any third party, affiliate, influencer, or reseller.

  • ❌ Adding political, controversial, or sensitive messaging to celebrity content.

  • ❌ Reposting, reusing, or publishing the content for personal portfolio, monetization, or marketing.

  • ❌ Licensing, sublicensing, or transferring any portion of the footage to others.

By agreeing to this clause, the Influencer confirms they understand and accept these restrictions as binding conditions of the collaboration. Any violations may result in immediate termination of the partnership and potential legal action.
